How U.S. LLC Formation Works

Forming an LLC involves both state-level filing and, typically, a federal EIN application. Here is the general process.

Choose a state

Select the state where the LLC will be formed, based on your business needs, target customers, and state-specific considerations.

Choose an LLC name

Check name availability under that state's business-name rules before filing.

Select a registered agent

The LLC must generally maintain a registered agent with a physical address in the formation state.

Prepare the formation filing

Prepare the state-specific formation document, commonly called Articles of Organization or Certificate of Formation.

File with the state

Submit the formation document to the appropriate state filing authority.

State approval

Wait for the state to process and approve the filing. Processing times vary by state and filing method.

Receive the formation document

The state issues an approved Certificate of Formation, Certificate of Organization, or equivalent document.

Prepare an Operating Agreement

Put in place an Operating Agreement appropriate to the LLC's ownership and management structure.

Apply for an EIN

Apply to the IRS for an Employer Identification Number for the LLC. See EIN explained.

Business setup

Consider next steps such as banking, tax compliance, any required licenses, and ongoing registered-agent and annual-report compliance.
